Position Overview

As a Contract Manager , you will provide advice and support for drafting, review and negotiation of contracts ranging from internal not for resale contracts, professional service agreements, warehouse and IT service agreements.

Responsibilities

  • Review and negotiate contracts on behalf of the entire enterprise. Provide advice and drafting, review and negotiation of contracts ranging from internal not for resale contracts, professional service agreements, warehouse and IT service agreements.

  • Work extensively with all company departments in assessing risks, and proposing process improvements respective to various contractual initiatives

  • Duties include, but are not limited to, analyzing data, drafting and editing administrative and specialized documents, drafting written correspondence with clients and colleagues

  • Support the organization's contractual needs and assist in prioritizing and managing legal risks relating to all operating units and collaborate with other internal and external subject matter experts

  • Communicate effectively, professionally, knowledgably, and in a timely manner, both verbally and written, to managers, colleagues, and clients maintaining appropriate Company image

  • Support the attorneys in the creation and development of various contracts and agreements including for not for resale contracts, confidentiality agreements, settlement agreements, waivers, indemnification letters and other documents. Assist with diligence matters.

  • Assist with licensing requirements for local, state and federal authorities with respect to wholesale and retail operations; file and renew warehouse and retail store licenses as necessary; and report the status of licensing issues to in-house attorneys on a regular basis

  • Support legal matters and assist in-house counsel as necessary for day to day operations

  • Perform clerical and administrative duties (including filing, T&E reports, document editing and formatting); prepare document distributions, and prepare various memos, reports and presentations related to attorney projects

Qualifications

  • Bacherlor’s Degree required: Paralegal and Juris Doctorate a plus

  • Two to Five year's experience managing, drafting and negotiating contracts; in a legal setting a plus

  • Proficient in the MS Office Package

  • Strong legal research, project management and interpersonal skills

  • Speaks clearly, active listener, persuasive

  • Possesses the ability to work independently, understand and write appropriate level material in the English language

  • Ability and desire to quickly learn new areas of the law and the business

  • Ability to make immediate decisions which have the potential for a fast paced environment

  • Large impact on the business where tight deadlines apply. Street smarts, thick skin and a demonstrated genuine interest in traditional contract law are essential elements of the position
